Acceptance of Terms

By accessing and using the services provided by SoftBridge B.V. ("SoftBridge," "we," "us," or "our"), including our website at softbridge.pro and our building services, you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and SoftBridge B.V., a company registered in the Netherlands with registration number 53891760, located at Berkenlaan 297, 5024 BC Tilburg, North Brabant, Netherlands.

Services Description

SoftBridge provides professional building services throughout the Netherlands, including but not limited to:

• New construction projects
• Renovation and refurbishment services
• Commercial building projects
• Building maintenance and repairs
• Construction consultation services

All services are provided in accordance with Dutch building regulations and industry standards. Specific terms for individual projects will be outlined in separate service agreements.

User Obligations

When using our services or website, you agree to:

• Provide accurate and complete information when requesting quotes or services
• Comply with all applicable laws and regulations
• Respect the intellectual property rights of SoftBridge and third parties
• Not use our services for any unlawful or prohibited purposes
• Maintain the confidentiality of any login credentials if provided
• Cooperate with our team during project planning and execution
• Provide safe and lawful access to project sites

Project Terms and Conditions

Intellectual Property

All content on the SoftBridge website, including but not limited to text, graphics, logos, images, and software, is the property of SoftBridge B.V. or its licensors and is protected by Dutch and international copyright laws.

You may not reproduce, distribute, modify, or create derivative works from any content on our website without our express written permission. The SoftBridge name and logo are trademarks of SoftBridge B.V.

Any designs, plans, or specifications created by SoftBridge for your project remain our intellectual property unless otherwise agreed in writing. You receive a license to use these materials for the specific project only.

Limitation of Liability

To the maximum extent permitted by Dutch law, SoftBridge B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim. This limitation applies regardless of the legal theory on which the claim is based.

We maintain appropriate professional indemnity and public liability insurance as required by Dutch law. Claims covered by our insurance will be handled according to the insurance terms and conditions.

Warranties and Disclaimers

SoftBridge provides warranties on our workmanship as specified in individual project agreements. We warrant that our work will be performed in accordance with industry standards and applicable building codes.

We disclaim all other warranties, express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose. We do not warrant that our website will be uninterrupted or error-free.

Material and equipment warranties are provided by their respective manufacturers. We will assist in warranty claims but are not responsible for manufacturer warranty issues.

Force Majeure

SoftBridge shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government actions, or pandemics. In such cases, we will notify you promptly and work to minimise any impact on your project.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we handle your personal data in compliance with GDPR and Dutch data protection laws.

Termination

Either party may terminate a service agreement in accordance with the termination provisions specified in the individual contract. In the absence of specific termination provisions, either party may terminate with 30 days written notice.

We reserve the right to terminate or suspend your access to our website immediately if you breach these Terms or engage in any conduct that we deem inappropriate or harmful to our business or other users.

Upon termination, you must pay for all services rendered up to the termination date. Provisions of these Terms that by their nature should survive termination shall remain in effect.

Dispute Resolution

We encourage direct communication to resolve any disputes. If a dispute cannot be resolved through discussion, we may pursue mediation through a recognised Dutch mediation service.

Any legal proceedings must be commenced within one year of the dispute arising. For consumer contracts, mandatory consumer protection laws may provide additional rights.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Dutch courts, specifically the courts of North Brabant, Netherlands.

Changes to Terms

SoftBridge reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after changes are posted constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be replaced with an enforceable provision that most closely reflects the original intent.
